Robert J. Hackett

Robert J. Hackett, is a member of the firm, whose practice focuses in the areas of corporate, securities and banking law, including public offerings, private placements, mergers and acquisitions and corporate finance.  He has represented issuers, underwriters, venture capital firms, financial institutions and purchasers of securities.

Mr. Hackett regularly represents emerging companies in capital markets transactions. He has counseled corporate clients on defensive measures to protect against hostile takeovers.  His practice includes filings with the Securities and Exchange Commission under the Securities Act of 1933 and the Securities Exchange Act of 1934.  He has been involved in the 1934 Act reporting of New York Stock Exchange listed companies.  He has also counseled corporations on stock exchange listing matters.  In addition to representing public and privately held companies on corporate and securities transactions, a growing portion of Mr. Hackett’s practice involves the representation of pre-IPO companies regarding corporate and securities law matters.

Mr. Hackett’s experience in corporate finance includes negotiating and drafting restructurings of corporate debt, venture capital transactions, tax exempt and taxable bond offerings, including industrial development bonds, project financing, leveraged leases, term loans, revolving credit agreements, interest rate swaps and repurchase and reverse repurchase agreements.  He has been involved in several acquisitions of financial institutions.  He has also structured, negotiated and drafted several joint ventures involving major international corporate interests.  Several transactions have involved real estate law.

Mr. Hackett practices before the Securities and Exchange Commission, the Securities Division of the Arizona Corporation Commission and the Arizona State Department of Financial Institutions.  His experience before the Department of Financial Institutions includes the representation of commercial banks, trust companies, mortgage brokers and mortgage bankers.
